This Confidentiality Agreement (“Agreement”) is made between the client (“Client”) and the coach/consultant (“Coach”), outlining the terms and conditions regarding the confidentiality of all communications, materials, and information shared between the parties.
1. Confidential Information
“Confidential Information” refers to any information disclosed by either party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects, including but not limited to business strategies, personal details, financial information, intellectual property, and any other sensitive material.
2. Obligation of Confidentiality
Both parties agree to keep all Confidential Information strictly confidential and shall not disclose such information to any third party without prior written consent, except as required by law.
3. Use of Confidential Information
The Confidential Information shall only be used for the purposes of the coaching relationship and to fulfill the obligations set forth in the coaching agreement.
4. Exceptions
This Agreement does not apply to information that is publicly known at the time of disclosure or becomes publicly known through no fault of the receiving party, or information lawfully received from a third party without restriction.
5. Duration
The obligations of confidentiality shall remain in effect during the coaching relationship and for a period of five (5) years thereafter.
6. Remedies
Any unauthorized disclosure or use of Confidential Information may cause irreparable harm. Both parties agree that the disclosing party shall be entitled to seek injunctive relief and any other remedies available at law or equity.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Coach operates.
8. Acceptance
By engaging in coaching services, the Client acknowledges and agrees to the terms outlined in this Confidentiality Agreement.
